1. Definitions

• "KaloxAI", "we", "us", or "our" means the KaloxAI product and its owner/operator.
• "You" or "user" means any person who installs, accesses, or uses the App.
• "Content" means any data, images, text, or other material provided, generated, or displayed through the App.

2. Eligibility and Use

You must be legally capable of entering into a binding contract under the laws of your jurisdiction to use the App.

If you are using the App on behalf of another person or an entity, you represent that you have authority to bind that person or entity to these Terms.

3. No Account, No Login

The App does not require account creation or login.

Your primary usage data (age, weight, height, diet goal, generated plans, logged meals) is stored locally on your device, as described in the Privacy Policy.

4. Health and Nutrition Disclaimer

The App uses AI (including large language models such as Gemini and computer vision models such as Vertex AI and other proprietary models) to:

• Generate 1‑month diet plans based on your age, weight, height, and selected goal (gain, lose, or maintain weight).
• Estimate calories, macro nutrients, and other nutrition facts from images of food.

You acknowledge and agree that:

• All diet plans and nutritional information are estimates only and may be incomplete, inaccurate, or inappropriate for your specific situation.
• AI models, regardless of reported accuracy (e.g., 98–99%), can make mistakes and no output is guaranteed to be 100% accurate.
• Image-based analysis is subject to variations in image quality, lighting, portion size, composition, and many other factors.

5. Permissions and Device Access

The App may request the following permission:

• Camera: to capture or scan photos of food for AI‑based nutritional analysis.

You agree to grant this permission if you wish to use the relevant feature. You may revoke permissions at any time through your device settings, but doing so may limit certain functionalities.

6. Data Storage and Privacy

User-specific data is stored locally on your device and is not automatically synchronized or backed up to our own servers by default.

Some data (such as text prompts or images) may be transmitted to third‑party AI and computer vision providers to generate diet plans or nutritional analysis.

Your use of the App is also governed by our Privacy Policy, which describes how we handle personal data and use third‑party services.

By using the App, you consent to the collection, use, and processing of data as described in the Privacy Policy.

7. Third‑Party Services and Links

The App may integrate or interact with third‑party services, including but not limited to:

• AI model providers (e.g., Gemini LLM).
• Computer vision and nutrition analysis providers (e.g., Vertex AI and other models).
• External websites (such as the Google Play Store, partner or enterprise portals, or social media links).

We do not control, endorse, or assume responsibility for third‑party services or content. Your use of such services may be subject to their own terms and privacy policies. You are responsible for reviewing and complying with them.

8. License and Acceptable Use

8.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the App on a compatible device that you own or control, and
• Use the App solely for your personal, non-commercial health and nutrition tracking purposes, unless you have a separate written agreement with us (e.g., enterprise or white-label program).

8.2 Acceptable Use

You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code or underlying models of the App except where expressly permitted by law.
• Use the App for any unlawful, harmful, or fraudulent purpose.
• Circumvent or attempt to circumvent any security or usage limitations.
• Use the App to create a competing product or service using any of our confidential or proprietary information.
• Interfere with or disrupt the operation of the App or any servers, networks, or third‑party services used by the App.

9. Ownership and Intellectual Property

The App, including all software, design, interfaces, graphics, text, logos, trademarks, and underlying technology, is owned by KaloxAI and/or its licensors and is protected by applicable intellectual property laws.

You do not acquire any ownership rights by using the App.

You may not remove, obscure, or alter any copyright, trademark, or other proprietary notices.

10. User Content

To the extent applicable:

• You remain the owner of any content you input into the App (such as manually logged meals, text notes, or photos), subject to any rights granted under these Terms.
• You grant us and our service providers a limited, non-exclusive, worldwide, royalty-free license to process such content solely for the purpose of operating, improving, and providing the App's features (e.g., generating diet plans, analyzing images, and improving model performance).
• You represent and warrant that you have the right to provide such content and that it does not violate any law or the rights of any third party.

11. Free Service; No Guarantees

KaloxAI is currently offered as a free service to individual users, with no subscription fees or in‑app purchases, as indicated on our website and listings.

We reserve the right to modify the features, introduce paid plans, or change our business model in the future, with or without notice, to the extent permitted by law.

We do not guarantee uninterrupted availability, error-free operation, or permanent storage of any data.

12. Disclaimers

To the maximum extent permitted by law, the App is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, non‑infringement, and accuracy.
• Any warranty that the diet plans, nutritional estimates, or AI outputs are correct, complete, or suitable for your health.

You assume full responsibility for your use of the App, including any decisions you make based on the information provided.

13. Limitation of Liability

To the maximum extent permitted by applicable law:

• KaloxAI and its owners, officers, employees, contractors, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or personal injury, arising out of or in connection with your use of the App, even if advised of the possibility of such damages.
• Our total aggregate liability for any claim arising out of or relating to the App or these Terms shall not exceed the greater of: (a) the amount you paid to us for use of the App in the 12 months preceding the claim (which is typically zero for individual users), or (b) the minimum amount permitted by applicable law.

Some jurisdictions do not allow limitations of liability; in such cases, these limitations apply to the fullest extent permitted.

14. Indemnification

You agree to indemnify, defend, and hold harmless KaloxAI and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the App.
• Your violation of these Terms.
• Your violation of any law or the rights of any third party.

15. Modifications to the App and Terms

We may update, modify, or discontinue the App (in whole or in part) at any time without liability to you.

We may revise these Terms from time to time. When we do, we will update the "Last updated" date at the top.

Where required by law, we will provide additional notice of material changes. Your continued use of the App after changes become effective constitutes your acceptance of the updated Terms.

16. Termination

You may stop using the App at any time by uninstalling it from your device.

We may suspend or terminate your access to the App at any time, with or without notice, if we believe you have violated these Terms or pose a risk to the App, other users, or third parties.

Upon termination, the license granted to you will automatically end, and you must cease all use of the App. Provisions which by their nature should survive termination (such as intellectual property, disclaimers, limitations of liability, and indemnification) will continue to apply.

17. Governing Law and Dispute Resolution

The laws of the jurisdiction where KaloxAI is primarily operated (as identified in our official company details, website, or app store listing) will govern these Terms, without regard to conflict of law rules.

Any dispute arising out of or relating to these Terms or your use of the App shall be resolved by the competent courts of that jurisdiction, unless otherwise required by the laws of your country of residence.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms or agreements referenced herein, constitute the entire agreement between you and KaloxAI regarding your use of the App and supersede all prior or contemporaneous understandings on the subject.
